Your Content and Conduct

2.4 Uploading Content

If you choose to upload content to Candid League, you may do so to promote your business or artistic endeavors. However, you must ensure that any content you submit complies with our Terms of Service and applicable laws. For example, your content must not infringe on third-party intellectual property rights (such as copyrighted material) unless you have obtained proper permission or are otherwise legally entitled to do so. You are solely responsible for the content you upload to Candid League. We may utilize automated systems to analyze uploaded content to detect infringement and abuse, such as spam, malware, and illegal material.

2.5 Responsibility of Contributors

If you post material to the Website, post links on the Website, or otherwise make (or allow any third party to make) material available by means of the Website (any such material, “Content”), You are entirely responsible for the content of, and any harm resulting from, that Content. That is the case regardless of whether the Content in question constitutes text, graphics, an audio file, video file, document, computer software or any other type of electronic file or information. By making Content available, you represent and warrant that:

• the downloading, copying and use of the Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;
• if your employer has rights to intellectual property you create, you have either (i) received permission from your employer to post or make available the Content, including but not limited to any software, or (ii) secured from your employer a waiver as to all rights in or to the Content;
• you have fully complied with any third-party licenses relating to the Content, and have done all things necessary to successfully pass through to end users any required terms;
• the Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content;
• the Content is not spam, is not machine- or randomly-generated, and does not contain unethical or unwanted commercial content designed to drive traffic to third party sites or boost the search engine rankings of third party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing);
• the Content does not contain threats or incite violence, and does not violate the privacy or publicity rights of any third party;
• your content is not getting advertised via unwanted electronic messages such as spam links on newsgroups, email lists, blogs and web sites, and similar unsolicited promotional methods;
• your content is not named in a manner that misleads your readers into thinking that you are another person or company; and
• you have, in the case of Content that includes computer code, accurately categorized and/or described the type, nature, uses and effects of the materials, whether requested to do so by candidleague.com or otherwise.

Rights you Grant

You retain ownership rights in the content you upload. However, by providing content to Candid League, you grant us and other users certain rights as described below.

License to Candid League

By uploading content to Candid League, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use that content (including reproduction, distribution, preparation of derivative works, display, and performance) in connection with our service and business operations, including promotion and redistribution of Candid League content.

License to Other Users

You also grant each user of Candid League a worldwide, non-exclusive, royalty-free license to access your content through our service.
Users are not granted to use your content, including reproduction, distribution, preparation of derivative works, display, and performance, only as enabled by features of Candid League (such as video playback or embeds). This license does not grant users permission to use your content independent of Candid League.

Duration of License

The licenses granted by you continue for a commercially reasonable period after you remove or delete your content from Candid League. However, you understand and agree that Candid League may retain, but not display, distribute, or perform server copies of your content that have been removed or deleted.

Right to Monetize

You grant Candid League the right to monetize your content on our service, which may include displaying ads on or within content or charging users a fee for access. This agreement entitles you to payments. Any payments you may be entitled to receive from Candid League under any other agreement will be treated as royalties or one time sum.

Removing Your Content

You may remove your content from Candid League at any time. You must remove your content if you no longer have the rights required by these terms.

Acceptable Use Policy

The following restrictions apply to your use of Candid League. You are not allowed to:

1. Access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify, or otherwise use any part of Candid League or any content except:
2. As expressly authorized by Candid League; or
3. With prior written permission from Candid League and, if applicable, the respective rights holders.
4. Circumvent, disable, fraudulently engage with, or otherwise interfere with any part of Candid League (or attempt to do any of these things), including security-related features or features that:
5. Prevent or restrict the copying or other use of content; or
6. Limit the use of Candid League or content.
7. Access Candid League using any automated means (such as robots, botnets, or scrapers) except:
8. In the case of public search engines, in accordance with Candid League’s robots.txt file; or
9. With Candid League’s prior written permission.
10. Collect or harvest any information that might identify a person (for example, usernames or faces) unless permitted by that person or allowed under section (3) above.
11. Use Candid League to distribute unsolicited promotional or commercial content or other unwanted or mass solicitations.
12. Cause or encourage any inaccurate measurements of genuine user engagement with Candid League, including by paying people or providing them with incentives to manipulate metrics in any manner.
13. Misuse any reporting, flagging, complaint, dispute, or appeals process, including by making groundless, vexatious, or frivolous submissions.
14. Run contests on or through Candid League that do not comply with Candid League’s contest policies and guidelines.
15. Use Candid League to view or listen to content other than for personal, non-commercial use (for example, you may not publicly screen videos or stream music from Candid League).
16. Use Candid League to:
17. Sell any advertising, sponsorships, or promotions placed on, around, or within Candid League or content, other than those allowed in Candid League’s advertising policies (such as compliant product placements); or
18. Sell advertising, sponsorships, or promotions on any page of any website or application that only contains content from Candid League or where content from Candid League is the primary basis for such sales (for example, selling ads on a webpage where Candid League videos are the main draw for users visiting the webpage).

This policy outlines the acceptable use of Candid League. Failure to comply with these restrictions may result in the termination of your access to Candid League and may subject you to legal consequences.
